Siya Market – Nigerian Marketplace
1. Purpose
These Terms and Conditions of Sale (the “Terms”) govern the relationship between:
- Suppliers using Siya Market to showcase and offer their products or services to buyers around the world.
- Buyers using the platform to discover and purchase products or services from suppliers.
- Siya Market, which acts as a technical intermediary platform connecting suppliers and buyers.
2. Role of Siya Market
Siya Market connects suppliers based in Nigeria with buyers from around the world.
Siya Market:
- Is neither the seller nor the reseller of the products or services offered by suppliers.
- Does not manufacture, own, or directly provide the products or services listed by suppliers.
- Is not responsible for the quality, accuracy, legality, compliance, availability, or delivery of products or services offered by suppliers, except where otherwise required by applicable law.
3. Supplier Registration Requirements
Suppliers must provide accurate and truthful information, including their identity, contact details, business information, and location.
Suppliers agree to comply with all applicable laws and regulations in Nigeria and, where applicable, the laws governing transactions with international buyers.
Suppliers must accept these Terms and Conditions when creating and using their Siya Market account.
4. Supplier Obligations
Suppliers agree to:
- Provide accurate, complete, and up-to-date information about their products or services.
- Ensure that their products and services comply with all applicable laws and regulations.
- Fulfill orders and arrange delivery or service provision within the timeframes communicated to buyers.
- Handle returns, cancellations, complaints, and after-sales services in accordance with their stated policies and applicable laws.
- Clearly display the prices of their products or services, as well as any applicable fees, shipping costs, taxes, or other charges.
5. Orders and Payments
Orders may be initiated through the Siya Market platform and may result in direct communication or transactions between suppliers and buyers, depending on the features available on the platform.
Payment may be:
- Made directly between the buyer and the supplier through an agreed payment method or, where applicable, upon delivery.
- Processed through an integrated payment gateway when such a payment solution is available on the platform.
Siya Market may charge suppliers commissions, listing fees, subscription fees, transaction fees, or other applicable charges, provided that such fees are clearly communicated to the supplier.
6. Disputes Between Suppliers and Buyers
In the event of a dispute, the supplier and buyer are encouraged to communicate directly and seek an amicable resolution.
Siya Market may, at its discretion, facilitate communication or mediation between the parties. However, Siya Market does not assume responsibility for disputes arising from transactions between suppliers and buyers.
Where legal proceedings are necessary, the competent jurisdiction shall be determined in accordance with applicable law and the circumstances of the transaction.
7. Reviews and Ratings
Buyers may publish reviews and ratings based on their experience with a supplier or transaction.
Suppliers acknowledge and agree that such reviews may be published on Siya Market, including negative reviews, provided that they do not violate applicable laws or Siya Market’s content policies.
8. Suspension or Termination of Supplier Accounts
Siya Market reserves the right to:
- Suspend, restrict, or terminate a supplier account in cases of fraud, abuse, misleading information, prohibited activities, repeated complaints, or violation of these Terms.
- Request identification documents, business documents, product documentation, or any other supporting documents necessary to verify the identity or business activities of a supplier.
- Remove or restrict listings that violate applicable laws, these Terms, or Siya Market policies.
9. Changes to These Terms
Siya Market reserves the right to modify these Terms and Conditions of Sale at any time.
Where appropriate, suppliers will be notified of material changes through the platform or by other available means of communication.
Continued use of the platform after the updated Terms come into effect may constitute acceptance of the revised Terms, to the extent permitted by applicable law.
